Terms of Use
The Services are provided subject to these terms and conditions (these “Terms”), our Privacy Policy, and any other guidelines, rules or operating policies that Voicedocs Software GmbH of Rochusstraße 230 - 234, 53123 Bonn, Germany (hereinafter, “Voicedocs Software GmbH”) may establish and post on the Website (collectively, the “Agreement”).
Services
The Voicedocs Software GmbH service is offered through https://voicedocs.com (the “Website”), API and our mobile application on iOS and Android.
Subject to the terms and conditions in the Agreement, during the Agreement Term, Voicedocs Software GmbH hereby grants you limited, non-exclusive, non-transferable, non-sublicensable, worldwide, and revocable rights to access and use the Services solely for your internal business purposes. You agree your subscription to access and use the Services is not contingent on delivery of any future functionality or features or the delivery of any other services.
Account
In order to use our Service, you must 1) be at least eighteen (18) years old and able to enter into contracts; 2) complete the registration process; 3) agree to the terms and conditions set forth in the Agreement; and 4) provide true, complete, and up to date legal and contact information. If you sign up for Voicedocs Software GmbH on behalf of a company or other entity, you represent and warrant that you have the authority to accept these Terms on their behalf.
Agreement Term
The term of the Agreement (the “Agreement Term”) begins when you sign up for Voicedocs Software GmbH or first use the Services and continues as long as you use the Services.
Account and Password
The Services are provided to Customer via a dedicated account on the Website, pursuant to which Customer will create a unique user-id and password.
You’re responsible for keeping your user-id and password confidential. You’re also responsible for any use of any account that you have access to, whether or not you authorized the use. You’ll immediately notify us of any unauthorized use of your accounts.
You are solely responsible for any losses, damages, fees or liability due to your lost, stolen, hacked or otherwise compromised user-ids and passwords.
We don’t have access to your current password, and for security reasons, we may only reset your password.
Fees, Payments and Refunds
All charges for the paid services (“Charges”) are posted on the Website, or otherwise set forth in the Agreement. You agree to pay for paid services according to these Terms. Charges paid by Customer are non-refundable.
As long as you’re using paid services, you’ll provide Voicedocs Software GmbH’s third party payment processor (Stripe) with valid credit card information. Anyone using a credit card represents and warrants that he or she is authorized to use that credit card, and that any and all charges may be billed to that credit card and won’t be rejected. If, for some reason, our third party payment processor is unable to process your credit card order, we’ll try to charge 3 more times in the next few days. Consecutive charge retries does not change and/or extend your monthly or annual renewal date.
We may introduce new or cancel existing paid services and features at any time and change pricing from time to time. You will be informed about any of the changes at least one month in advance via email and/or on our Website.
You are responsible for any taxes imposed on the Services except in cases where legislation requires us to collect the taxes.
Reselling of the Services to third parties is permitted only if you sign a specific agreement with Voicedocs Software GmbH.
Cancellations and Inactivity
Except as otherwise set forth in an Order Form, you or Voicedocs Software GmbH may terminate this Agreement at any time and for any reason by giving Notice to the other party. Termination of the agreement means that you will lose access to your account. You have to explicitly cancel your subscription to paid services on the Website or by writing to support@voicedocs.com before the next payment date or your subscription will auto renew and you will be charged your next subscription fee. In case of auto renewal, all paid services will be provided to you for the next month.
We may at any time terminate the Agreement if (a) you have breached any provision of these Terms (or have acted in a manner that clearly shows you do not intend to, or are unable to, comply with these Terms); (b) we are required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); (c) the provision of the Services to you by us is, in our opinion, no longer commercially viable; or (d) we have elected to discontinue the Services (or any part thereof).
Once terminated, we may permanently delete your account and all the data associated with it.
If you do not log in to your account for 12 or more months, we may treat your account as “inactive” and permanently delete the account and all the data associated with it.
If Voicedocs Software GmbH terminates this Agreement because you breached this Agreement or any applicable laws, no refund will be issued.
Voicedocs Software GmbH may charge an account reactivation fee should an account need to be reactivated by a customer after an account has become de-activated due to breach of this Agreement and/or long period of inactivity.
Grant Of License
Voicedocs Software GmbH You a non-exclusive, non-transferable, non-sublicensed, non-commercial and personal license to install and/or use the Product (in whole or in part) and any Product (the “License”), for such time until either You or Voicedocs Software GmbH terminates this License. You must in no event use, nor allow others to use, the Product or this License for commercial purposes without obtaining a license to do so from Voicedocs Software GmbH. Updates, upgrades, patches and modifications may be necessary in order to be able to continue to use the Product on certain hardware. THIS PRODUCT IS LICENSED TO YOU, NOT SOLD.
As applicable, certain parts of the Product may be using third party features, some of which are managed by third-party providers for which additional terms and/or costs may apply. You must comply with such additional terms. Please review such additional terms and costs carefully.
You shall not, directly or indirectly (i) sell, rent out, lease, license, distribute, market, exploit the Product or any of its parts commercially, (ii) reverse engineer, decompile, disassemble, adapt, reproduce, or create derivate works of this Product (except if the Product enable You through a specific feature to create, generate or submit User Generated Content and for which You will need to create an Account and comply Terms of Use), in whole or in part; (iii) create, use and/or distribute “auto”,“script” or “macro” computer programs or other “hack” programs or software applications for this Product; (iv) remove, alter, disable or circumvent any copyright and trademark indications or other authorship and origin information, notices or labels contained on or within this Product and (v) export or re-export this Product or any copy of adaptation in violation of any applicable laws or regulations.
While using the Product, You agree to comply will all applicable laws, rules and regulations. In all cases, You may only use the Product according to anticipated use of the Product.
For example purposes, and without limiting Voicedocs Software GmbH’s rights to take action against You, You may not: a) create, use, share and/or publish by any means in relation to the Product any material (text, words, images, etc.) which would breach of a duty of confidentiality, infringe any intellectual property right or an individual’s right to privacy or which would incite the committing of an unlawful act (in particular, piracy, cracking or circulation of counterfeit software); b) modify, distort, block, abnormally burden, disrupt, slow down and/or hinder the normal functioning of all or part of the Product, or their accessibility to other users, or the functioning of the partner networks of the Product, or attempt to do any of the above; c) transmit or propagate any virus, trojan horse, worm, bomb, corrupted file and/or similar destructive device or corrupted data in relation to the Product, and/or organize, participate in or be involved in any way in an attack on Voicedocs Software GmbH’s servers and/or the Product and/or those of its service providers and partners; d) create, supply or use alternative methods of using the Products, for example server emulators; e)transmitting or communicating any material or content which, in the sole and exclusive discretion of Voicedocs Software GmbH, is believed or deemed offensive, including, but not limited to, language that is harmful, threatening, unlawful, abusive, harassing, defamatory, disparaging, obscene, sexually explicit, or racially, ethnically, or otherwise objectionable; f) harassing or threatening any other users in the Product;g) make inappropriate use of the help service or the claim buttons or send untruthful reports to members of Voicedocs Software GmbH’s personnel; h) falsely claim to be an employee or representative of Voicedocs Software GmbHor its partners and/or agents; i) falsely claim an endorsement in connection with the Product or with Voicedocs Software GmbH.
Ownership
All title, ownership rights and intellectual property rights in and to the Product (including, without limitation, all text, graphics, music or sounds, all messages or items of information, fictional characters, names, themes, objects, scenery, costumes, effects, dialogues, slogans, places, characters, diagrams, concepts, choreographies, videos, audio-visual effects, domain names and any other elements which are part of the Product, individually or in combination) and any and all copies thereof are owned by Voicedocs Software GmbH or its licensors. The Product is protected by national and international laws, copyright treaties and conventions and other laws. This Product may contain certain licensed materials and, in that event, Voicedocs Software GmbH’s licensors may protect their rights in the event of any violation of this Agreement. Any reproduction or representation of these licensed materials in any way and for any reason is prohibited without Voicedocs Software GmbH’s prior permission and, if applicable, Voicedocs Software GmbH’s licensors’ and representatives’. Except as expressly set forth in this agreement, all rights not granted hereunder to You are expressly reserved by Voicedocs Software GmbH.
This License confers no title or ownership in the Product and should not be construed as a sale of any rights in the Product.
Privacy
In using the Services, you may provide information (such as name, contact information, or other registration information) to Voicedocs Software GmbH. Voicedocs Software GmbH may use this information and any technical information about your use of the Services to tailor its presentations to you, facilitate your movement through the Services, or to communicate separately with you.
We may use and disclose your information in connection with its provision of the Services, according to our Privacy Policy. From time to time, we may modify our Privacy Policy, which modifications shall become effective once posted. Warranties
To the maximum extent permitted by law, we provide the Services as is and as available. That means that except to the extent expressly set forth in the Agreement, we don’t provide warranties of any kind, either express or implied, including, but not limited to, we may use or disclose your materials only as we describe in these Terms and our Privacy Policy, non-infringement, title and fitness for a particular purpose or use. We do not warrant the Services will meet your requirements nor do we provide any warranty about results that may be obtained by using the Services. The Services may rely on third party software and hardware, and we make no representations, promises or guarantees regarding third party software and hardware. Voicedocs Software GmbH does not warrant the Services will be uninterrupted or error-free. The Services are not intended to replace your professional skills or judgment.
From time to time down-time, either scheduled or unscheduled, may occur. Voicedocs Software GmbH will work within reason to ensure this amount of down-time is limited. Voicedocs Software GmbH will not be held liable for the consequences of any down-time.
Voicedocs Software GmbH cannot guarantee that any file or program available for download and/or execution from or via the Services is free from viruses or other conditions which could damage or interfere with data, hardware or software with which it might be used. You assume all risk of use of all files associated with the Services, and you release Voicedocs Software GmbH entirely of all responsibility for any consequences of its use.
Limitation of Liability
To the maximum extent permitted by law, Voicedocs Software GmbH accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Web Site or any information contained therein. Users should be aware that they use the Web Site and its Content at their own risk.
Nothing in these terms and conditions excludes or restricts Voicedocs Software GmbH’s liability for death or personal injury resulting from any negligence or fraud on the part of Voicedocs Software GmbH.
Every effort has been made to ensure that these terms and conditions adhere strictly with the relevant legal provisions. However, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these terms and conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal.
No Waiver
In the event that any party to these Terms and Conditions fails to exercise any right or remedy contained herein, this shall not be construed as a waiver of that right or remedy.
Previous Terms and Conditions
In the event of any conflict between these Terms and Conditions and any prior versions thereof, the provisions of these Terms and Conditions shall prevail unless it is expressly stated otherwise.
Notices
All notices / communications shall be sent us by email to support@voicedocs.com , online chat or other online contact options. Such notice will be deemed the day of sending if the email is received in full on a business day and on the next business day if the email is sent on a weekend or public holiday.
Law and Jurisdiction
These terms and conditions and the relationship between you and Voicedocs Software GmbH shall be governed by and construed in accordance with the Law of Germany and Voicedocs Software GmbH and you agree to submit to the exclusive jurisdiction of the Courts of Cologne.
